General conditions of collaboration and sale

TooBe does not buy products or services from the partners, they are put on consignment at TooBe, by the partners, and then offered to the final consumers by the online sales platform TooBe.ch.

  • Each partner defines the selling price of its products*,
  • Each partner defines the margin he wants to apply on the selling price of his products*,
  • Each partner is responsible for its products, their quality, and their shelf life. 
  • Each partner manages its own products and stocks in the TooBe computer system, thanks to a dedicated access.
  • This system will give freedom and allow an active follow-up of the management of stocks and products in order to guarantee their availability on time. 
  • Each partner is responsible for the timely delivery of its products,
  • In order to allow TooBe to develop sales, each partner shares its community of customers with TooBe. 
  • Quality and price objectives 
  • TooBe wants to offer quality products that customers can trust. 
  • TooBe wants to offer the best quality at the best price while respecting the commitments made by the partners 
  • TooBe wishes to work with partners who favour regional, national or organic labels and who generally favour the quality and traceability of the products they use for their production.

1. Referencing on the platform and setting up the partner store 

In a spirit of independence and so that the partners can promote the visibility of their products as well as possible, each partner will autonomously set up a dedicated "store".

Nevertheless, in order to keep a coherent and homogeneous image of the site, it will have to take into account a certain number of pre-defined criteria.

2. Responsibilities

The partner is responsible for promoting its products using social networks and other advertising means to direct consumers to TooBe with or without a coupon code to use.  

At the same time, each partner must provide TooBe with content for the promotion of its products following TooBe's communication guidelines.

For the development of B2B sales, each partner will bring to TooBe ten (10) customers (point of sale) and/or will direct its customers on TooBe so that they benefit from the same conditions (prices) on its products but also on the products of the other partners.  

3. Promotion 

The partner is responsible for promoting its products using social networks and other advertising means to direct consumers to TooBe with or without a coupon code to use.  

At the same time, each partner must provide TooBe with content for the promotion of its products following TooBe's communication guidelines.

For the development of B2B sales, each partner will bring to TooBe ten (10) customers (point of sale) and/or will direct its customers on TooBe so that they benefit from the same conditions (prices) on its products but also on the products of the other partners. 

4. Communication with consumers  

A link (button) will accompany each product to allow the consumer to ask a question, make a suggestion and/or request a contact. An email will be sent to the partner so that he can contact the consumer within 24 hours.  

The quality of the exchange will be qualified by the consumer and by the partner (5 star system).  

The qualification will take into account the speed and relevance of the response.  

Qualifications of 2 stars or less will have to be explained by the partner. TooBe reserves the right to contact the consumer in order to better understand the reasons for the qualification of the consumer or the partner. If necessary TooBe could take measures to improve the quality of the exchanges.

5. Hotline

A hot line will be set up by TooBe in order to allow consumers to contact the site in case of difficulty in delivery or claim concerning the quality of the delivered products. 

In case of complaint concerning the quality of the delivered products, TooBe will communicate this complaint directly to the partner. 

The latter will contact, within a maximum of 3 days, directly with the consumer in order to solve this problem as well as possible. 

TooBe must be informed of the result obtained.

6. Transparency 

In order to assure the partners the good management of their stock, sold quantity, realized cashings, TooBe commits itself to provide to the partners, at first request, all the administrative and accounting elements allowing him to reconcile these elements of information.

7. Product listing fees

A referencing fee will be charged for each of the products hosted on the TooBe website.  

 

These fees are different for Best Sellers (A-products) and new or seasonal products (B-products).  

The Pareto analysis (20/80) will automatically define the accommodation costs according to the following criteria:

 

  1. Products A (80% sales) : CHF 0.20/ calendar day 
  2. B products (20% sales) : CHF 0.50/ calendar day

Note that a product can change its status from A to B or vice versa. Fees will be billed separately at the end of each month with the sales statistics. 

These fees will only be charged as of the 4th of January.ème months of product listing.

8. Payments of Proceeds of Sales:  

TooBe reconciles the sales of each partner on a monthly basis.

In the two days following this reconciliation, TooBe will proceed to the payment of the invoices of the partners, that is to say quantities delivered x Sales price x 70%.

Third party fees will also be deducted from the sales amount.

9. Jurisdiction

The present contract is governed by Swiss law. The place of jurisdiction is Lausanne.
